智通财经APP讯，中国电力(02380)公布，于2024年12月6日，该公司、淮南矿业与平圩发电(公司拥有 60% 权益的附属公司)订立增资扩股协议，据此， 淮南矿业同意透过向平圩发电注册资本注资的方式， 以代价约人民币1.53亿元收购平圩发电 11%的股权。
于交割后，该公司在平圩发电的股权将由 60%摊薄至 49%，届时平圩发电将不再为公司的附属公司，而成为公司的联营公司。
公告称，增资扩股协议代表本公司与淮南矿业在合作框架协议基础上建立的战略合作关系，旨在发挥“两个联营”，即“煤炭与煤电”和“煤电与新能源”的产业模式优势。
增资进一步加强了订约各方对平圩发电旗下平圩四期项目发展的承诺，平圩四期项目是国家“十四五”规划下安徽省的重点发电项目之一，对缓解安徽省电力短缺及支持区域经济和社区的可持续发展具有重要意义。
订立增资扩股协议将确保公司能充分受益于平圩四期项目的清洁高效新机组，且符合公司绿色及可持续发展的战略目标。此外，增资扩股协议项下的交割后承诺，可令集团实现战略和经营的协同效应，确保平圩公司长期稳定煤炭供应及稳定发电的双重安全。
