易大宗斥资1.42亿元收购珠海三处物业 交易构成关联交易
财中社12月8日电易大宗（01733）发布公告称，于2024年12月6日，公司间接全资附属公司与卖方签署了物业购买协议，涉及位于珠海市的三处物业，交易总价为1.42亿元（约1.53亿港元），将通过内部资源支付。此次交易构成关联交易，因为卖方是公司控股股东王奕涵的父亲。
根据公告，第一处物业为珠海市横琴新区的办公单位，购买价格为7332万元（约7939万港元），该单位现有租赁协议将于2025年6月30日到期。第二处物业（物业A）购买价为3318万元（约3593万港元），而第三处物业（物业B）则为3508万元（约3799万港元）。三项交易的相关百分比率超过0.1%但低于5%，因此无需独立股东批准。
此次收购旨在减少持续的租赁成本，并通过自持物业增强公司在珠海横琴的业务发展。董事会认为，此次交易条款公平合理，符合公司及股东的整体利益。
