易大宗斥资1.42亿元收购珠海三处物业 交易构成关联交易

  财中社12月8日电易大宗(01733)发布公告称,于2024年12月6日,公司间接全资附属公司与卖方签署了物业购买协议,涉及位于珠海市的三处物业,交易总价为1.42亿元(约1.53亿港元),将通过内部资源支付。此次交易构成关联交易,因为卖方是公司控股股东王奕涵的父亲。

  根据公告,第一处物业为珠海市横琴新区的办公单位,购买价格为7332万元(约7939万港元),该单位现有租赁协议将于2025年6月30日到期。第二处物业(物业A)购买价为3318万元(约3593万港元),而第三处物业(物业B)则为3508万元(约3799万港元)。三项交易的相关百分比率超过0.1%但低于5%,因此无需独立股东批准。

  此次收购旨在减少持续的租赁成本,并通过自持物业增强公司在珠海横琴的业务发展。董事会认为,此次交易条款公平合理,符合公司及股东的整体利益。
