新特能源收购新疆天池全资附属公司49%股权 交易价15.08亿元
财中社12月8日电新特能源（01799）发布公告，宣布与新疆天池及目标公司签署股权转让协议，收购目标公司49%的股权，代价为15.08亿元。此次收购完成后，公司将持有目标公司49%的股权，但目标公司的财务报表将不合并入公司的综合财务报表，而是按照权益法进行核算并确认投资收益。
目标公司在2023年度的净利润为803万元，预计其未来的营收将受到新能源发电占比逐步提升的影响，呈现一定程度的下滑。根据估值报告，目标公司的全部股东权益价值为30.77亿元，收购事项预计将为公司带来稳定的现金分红，进而对冲多晶硅市场低迷对公司盈利水平的负面影响。收购事项构成公司之关联交易，需遵守相关的公告及申报规定。
