智通财经APP讯，嘉里物流(00636)发布公告，有关公司发行本金总额为 7.80亿港元的可换股证券予卖方。如公司日期为2023年4月24日的通函所披露，发行可换股证券提供额外资金，用于扩展东南亚国际快递业务，尤其支持公司前间接附属公司 KEX Thailand。可换股证券发行完成后，公司将所得款项净额约 7.74亿港元以贷款方式悉数转贷予 KEX Thailand，以支持 KEX Thailand 的增长及扩张。于2024年3月，公司完成以实物分派其于 KEX Thailand 持有的全部股份，KEX Thailand 不再为本集团附属公司。因此，公司拟收回贷款，并购回及注销可换股证券。
于2024年12月10日，公司与卖方(顺丰控股(香港)有限公司)订立购买合同，根据购买合同的条款及条件，公司有条件同意购买，而卖方有条件同意出售可换股证券，代价为现金7.445亿港元。
