智通财经APP讯，复星旅游文化(01992)公布，于2024年12月9日，董事会决议就建议根据公司法第86条以协议安排方式回购公司股份，向计划股东提呈该建议。
以该计划生效为前提，全部计划股份(受托人未获分配的计划股份除外)将予以注销，以就每股计划股份换取现金7.80港元。受托人未获分配的计划股份将无偿予以注销。7.80港元的注销价较于2024年11月26日(即最后交易日期)于联交所所报收市价每股股份4.00港元溢价约95.00%。
于该计划生效后，所有计划股份将被注销，计划股份的股票其后将不再具有所有权文件或凭证的效力。公司将根据上市规则第6.15条向联交所申请撤销股份于联交所的上市地位，于生效日期后立即生效。
此外，公司已向联交所申请股份自2024年12月11日上午九时正起恢复于联交所买卖。
