智通财经APP讯，MONGOL MINING(00975)公布，于2024年12月11日，该公司及全资附属Mongolian Mining Corporation Pte. Ltd(买方)与卖方Talst Investment LLC订立证券购买协议。
根据证券购买协议，买方拟向卖方收购Universal Copper LLC已发行及流通股本的50.5%，总现金代价为2050万美元。
据悉，目标公司主要从事铜及其他有色金属的勘探，并持有三份矿产开采特别许可证，详情如下：MV-017089，面积覆盖2,931.07公顷，名为Khar Tolgoi (White Hill); MV-017579，面积覆盖5,300.54公顷，名为Urkhut;及MV-021014，面积覆盖 6,557.08公顷，名为Khukh Tolgoi，均位于蒙古国Bayankhongor盟(省)。该等许可证分别由蒙古国矿产资源和石油管理局于2012年7月30日、2014年7月17日及2018年1月30日颁发。根据蒙古国矿产法，矿产开采特别许可证的有效期为30年，可续期两次，每次为期20年。
董事会认为，建议收购目标公司将可能令公司的收益来源多元化，减少对单一商品的依赖，并符合集团的长期发展目标，从而促进进一步扩展其业务营运。此外，该收购强调根据公司主要策略所做的努力，包括发掘商机，以透过潜在策略合作和合营安排扩大和分散业务，并主要物色蒙古国的潜在投资目标。
