复星国际(00656.HK) 公布，复星旅游文化(01992.HK) 计划私有化。
复星国际表示，公司董事会计划以协议安排方式回购复星旅文股份，每股作价7.8元，较该股份停牌前溢价约95%。于私有化计划生效后，复星国际及复星控股将拥有复复星旅文，分别约98.44%及1.56%权益，且复星旅文股份于联交所的上市地位将同时被撤销。
复星国际解释，复星旅文的上市地位不再提供有意义的融资渠道，并为复星旅文带来额外成本。当股份除牌后，预期复星旅文将大幅减少因维持其上市地位而产生的行政资源；以及复星国际将更有效及可行地提供业务资源，使复星旅文得以执行其长远战略及实现持续增长。(js/w)
