智通财经APP讯，朗诗绿色管理(00106)发布公告，于2024年12月5日(纽约时间)，LHC透过B.Riley SecuritiesInc.(“B.Riley Securities”)、WedbushSecuritiesInc.(“Wedbush Securities”)及Zions DirectInc.(“Zions Direct”)(彼等各自为其自身及代表其他包销商行事，统称“该等包销商”)作为联席账簿管理人以包销发售方式完成出售252.17万股LSEA股份(“出售股份”)，相当于2024年12月5日已发行及发行在外LSEA股份总数约7.0%，公开发售价为每股LSEA股份10.25美元(“出售事项”)。就出售事项而言，LHC向该等包销商授出为期30日的购股权，以购买最多37.826万股额外LSEA股份(“购股权股份”)，公开发售价为每股购股权股份10.25美元。于本公告日期，该等包销商并无行使购股权股份的购股权。
集团已收取出售事项的销售所得款项约2580万美元。公司将利用出售事项所得款项偿还LHC的贷款。待进行审核后，集团预期将自出售事项确认亏损约1940万美元，乃根据公开发售价及于2024年6月30日每股LSEA股份的股东权益差额计算。
紧随出售事项完成后，LHC所持有的LSEA股份数目已减少至651.34万股，相当于2024年12月5日已发行及发行在外LSEA股份总数约18.0%。LandseaHomes将继续入账为公司联营公司。
