智通财经APP讯，水发兴业能源(00750)公布，于2024年12月16日(交易时段后)，中国信达(01359)与兴业控股(该公司的全资附属公司)订立投资协议，据此，订约方已同意出售事项、重组事项及资本承担。透过出售事项(作为中国信达向该集团作出的进一步投资)，中国信达将间接收购该集团将向投资公司注入的水发清洁能源48%的股权中的 40.05%(即19.2%的实际权益)。重组事项将转换新疆兴业99.38%的股权及武威东润 99.48%的股权的控股公司，但并未涉及集团任何收购或出售。资本承担(即兴业控股及中国信达分别承诺向投资公司注入约人民币1.58亿元及人民币6334.19万元的现金)已于投资协议项下协定。
正在进行的出售事项为中国信达对水发清洁能源的投资。投资公司根据投资协议拟对水发清洁能源进行的投资将使水发清洁能源通过引进战略投资者，受益于中国信达未来所带来的大量具吸引力的投资机会。此外，出售事项亦将加强集团的流动资金及补充其营运资金。资本承担将增加投资公司(其为该公司的非全资附属公司)的资金，从而进一步发展及扩展集团的光伏发电业务，促进集团的成长及发展。
