智通财经APP讯，中国中冶(01618)公布，中国五矿、其全资子公司中冶集团已知会该公司，作为中国五矿集团内部重组的一部分，订约方已于2024年12月13日订立《国有股份无偿划转协议》，双方同意，中冶集团将持有的该公司约91.72亿股A股股份(占公司总股本的44.258%)无偿划转至中国五矿。鉴于中冶集团为中国五矿全资子公司，无偿划转事项为同一控制下的国有股份无偿划转，故中国五矿无须向中冶集团支付任何对价。
无偿划转事项完成后，中国五矿将直接持有该公司约91.72亿股A股股份(占公司总股本的44.258%)，中冶集团将直接持有公司约10.19亿股A股股份(占公司总股本的4.918%)，公司实际控制人未发生变化，仍为国务院国有资产监督管理委员会。
