港华智慧能源收购常州港能投55%股权 交易额5714万元
财中社12月19日电港华智慧能源（01083）发布公告，宣布其全资附属公司于2024年12月19日与中华煤气的全资附属公司签署转让协议，收购常州港能投智慧能源有限公司55%股权，交易金额为5714万元。该收购构成公司与关连人士之间的交易，依据上市规则第14A章进行申报及公告，但获豁免独立股东批准。
此次收购将使目标公司成为公司的非全资附属公司，其财务业绩将纳入公司的综合财务报表。目标公司截至2024年9月30日的未审计资产净值为1.04亿元，2022年及2023年的除税后溢利分别为人民币64.5万元和295万元，2024年到9月30日止则为138万元。收购后，公司将利用目标公司的资源及专业知识，推动再生能源及智慧能源项目的发展。
