中远海运港口收购HLT、TLT权益 总对价超30亿泰铢
财中社12月19日电中远海运港口（01199）发布公告，补充说明其收购HLT和TLT少量权益及投资合营公司的相关事项。根据公告，收购的总对价经过公平磋商确定，具体估值依据独立估值师的报告，其中HLT已发行普通股总数的30%估值约为26.66亿泰铢（约7810万美元），已发行优先股总数的30%估值约为6亿泰铢（约1760万美元），以及TLT全部股权的12.5%估值约为1.06亿泰铢（约310万美元）。
在估值过程中，采用了收益法，并考虑了HLT和TLT的经营性质、未来盈利潜力及市场竞争等因素。此外，董事会认为此次收购事项的总对价公平合理，符合公司及其股东的整体利益，且对未来发展有积极影响。
