智通财经APP讯，中国重汽(03808)发布公告，集团董事会接获中国重型汽车集团有限公司(中国重汽，公司间接控股股东)通知，于2024年12月20日，中国重汽与中国重汽(维尔京群岛)有限公司(为中国重汽的全资附属公司及公司51%已发行股本的直接持有人)订立有条件股份转让协议，内容有关中国重汽(维尔京群岛)无偿向中国重汽转让公司51%已发行股本。
根据通知，上述转让股份转让须待若干条件达成后，方告完成，其中包括中国重汽已根据香港公司收购、合并及股份回购守则取得香港证券及期货事务监察委员会的豁免，豁免中国重汽履行收购守则规则26.1项下的强制性全面要约义务。
公司获悉，香港证券及期货事务监察委员会已向中国重汽授予全面要约豁免。
紧随上述交易完成后，中国重汽(维尔京群岛)将不再持有公司任何权益，而中国重汽将成为转让股份的直接持有人。鉴于中国重汽将继续为公司的控股股东，董事会认为，完成转让股份转让将不会对集团的财务状况及营运造成任何重大影响。
