财中社12月20日电同仁堂国药（03613）发布公告，宣布于2024年12月20日与同仁堂科技签订技术服务合同。根据该合同，公司委托同仁堂科技对重要中药原材料进行工艺及技术研究，服务期限为2025年1月1日至2026年12月31日。合同总费用为500万港元，费用是依据双方对所需消耗品、员工成本及其他必要费用的预估进行公平协商后确定的。
同仁堂科技是公司的直接控股股东，持有约38.05%的权益，因此该交易被视为关联交易。由于涉及的适用百分比率超过0.1%但低于5%，该交易须遵守上市规则的申报和公告规定，但获豁免独立股东批准。此外，董事会认为该技术服务合同条款公平合理，并符合公司的整体利益，旨在提升生产技术和产品安全性，以增强客户信心。
