智通财经APP讯，皇庭智家(01575)发布公告，有关根据购股协议认购Charme Inc.(Charme)的天使轮优先股的相关事宜。于本公告日期，本公司持有Charme 423股天使轮优先股，占Charme股本约15.9804%股份。本公司已持续监察Charme的表现及业绩，包括要求Charme提供财务及其他资料，以供本公司评估及编制本集团的财务业绩。
本公司最近无法联络Charme的负责人(尤其是邹格兵先生)。尽管本公司曾多次要求Charme提供其财务及其他资料，但仍未收到Charme的回复或反馈，因此目前无法确定Charme的财务及营运状况。本公司透过其与Charme其他少数股东的沟通，得悉该等股东亦一直面临来自Charme管理层及最终实益拥有人的资讯及回应不足的问题。
据本公司经作出一切合理查询后所深知、全悉及确信，于本公告日期，Morris International(一家由邹格兵先生全资拥有其股份的公司)持有Charme已发行股本的70%。于本公告日期，邹格兵先生(透过慕容资本)间接拥有6.665亿股股份(相当于已发行股份约24.24%)的权益，因此为本公司主要股东。
鉴于本公司对Charme的有限投资(确认为按公允值计入损益的金融资产)已于本集团截至2023年12月31日止年度的综合财务报表内大幅减值，本公司认为上述事件不会对本集团的财务状况造成重大影响。
