智通财经APP讯，翰森制药(03692)公布，于2024年12月18日，公司全资附属公司上海翰森生物医药科技有限公司及江苏豪森药业集团有限公司(统称“许可人”)与Merck Sharp & Dohme LLC(默沙东)的一间全资附属公司(被许可人)订立全球独家许可协议。
根据许可协议，许可人将授予被许可人开发、生产及商业化临床前口服小分子 GLP-1受体激动剂HS-10535的全球独家许可。许可人将获得1.12亿美元首付款，并有资格根据该产品开发、注册审批和商业化进展收取最高19亿美元里程碑付款，以及基于产品销售的特许权使用费。在许可协议特定条件下，许可人可能于中国内地、中国香港特别行政区、中国澳门特别行政区共同推广或独家商业化该产品。
据悉，被许可人是Merck Sharp & Dohme LLC(默沙东)的全资附属公司，其为一家研究密集型生物制药公司，致力于发现和开发药物、疫苗及动物保健产品。
董事会认为订立该许可协议符合公司及其股东的整体最佳利益。公司亦将借此机会最大限度地发挥集团技术平台的科学及商业价值。
