中国中冶控股股东变更 五矿集团无偿划转44.258%股份
财中社12月18日电中国中冶（601618/01618）发布收购报告书，宣布中国五矿集团有限公司将其全资子公司中冶集团持有的中国中冶91.72亿股A股股份（占上市公司总股本的44.258%）无偿划转至中国五矿。此次无偿划转后，中国五矿将直接成为上市公司的控股股东，而中冶集团将持有10.19亿股A股股份（占上市公司总股本的4.918%）。实际控制人未发生变化，仍为国务院国资委。
本次收购是为了加强对下属上市公司的管控，理顺股权架构，压缩管理层级。收购人及其一致行动人在未来12个月内无增持或减持股份的计划。根据相关法律法规，此次无偿划转符合免于以要约方式增持股份的条件，且交易不涉及资金支付。
2024年前三季度，中国中冶实现收入4126.17亿元，归母净利润68.31亿元。
