智通财经APP讯，天津创业环保股份(01065)发布公告，于2024年12月17日，董事会审议通过有关公司拟与天津市政投资就目标股权(公司持有香港公司的100%股权)订立股权转让协议的议案。根据股权转让协议，公司有条件同意出售，而天津市政投资有条件同意收购目标股权，代价为人民币2997.35万元。
香港公司(天津创业环保(香港)有限公司)主要经营范围为水资源污水处理专案运营服务、污水处理厂建设、城市中水处理系统开发建设、海水淡化系统开发建设、污水处理设备销售。
交割后，香港公司将由天津市政投资持有100%股权。公司将不再持有香港公司任何股权，而香港公司将不再为公司的附属公司。
香港公司成立后，多年来一直未能建立清晰明确的业务发展方向，其融资及实体业务也均未能够开展。出于战略考虑和盘活存量资产，公司拟将香港公司100%股权转让给控股股东天津市政投资。
