智通财经APP讯，稀镁科技(00601)发布公告，于2024年12月21日，公司收到包销商发出的终止通知。根据该通知，包销商已向公司发出书面通知，立即终止包销协议(终止事项)。此终止原因为自最后交易日(2024年11月19日)至2024年12月19日期间，公司股份的交易价格大幅下跌。在此期间，公司股份于联交所的收市价由2024年11月19日的每股0.196港元下降至2024年12月19日的每股0.097港元，跌幅约50.5%。包销商认为(公司亦同意)，鉴于股份交易价格的显著下跌，供股的成功将受到重大及不利的影响。
因此，包销协议已全面终止并不再具有任何效力。于终止事项生效后，包销协议各方的所有义务将告终止，且任何一方均不得就包销协议引起或与其有关的任何事项或事宜向另一方提出任何申索，但任何一方因协议的先前违约行为所享有的权利除外。因此，供股事项将不再进行并已失效。
截至本公告日期，公司尚未寄发章程文件，亦未因供股而发行任何供股股份。
董事会认为，终止事项不会对集团的业务运营或财务状况造成任何即时的重大不利影响。公司将继续在适当时机寻求其他融资方式，并制定或修订原拟通过供股筹资的业务计划。
