　　乐氏国际控股（01529）发布公告，于2024年12月20日，卖方广东乐氏国际物流（公司的全资附属公司）、买方I王海曦、郭女士及目标公司中山海慧科企物流（集团）订立买卖协议，买方I已有条件同意购买，而卖方已有条件同意出售代表目标公司60%权益的销售权益，代价为人民币1元。交割后，目标公司将不再是本公司的附属公司。因此，目标公司的财务业绩将不再综合计入本公司的综合财务报表内。

　　于本公告日期，卖方已向目标公司提供本金额为人民币750万元的股东贷款。于2024年12月20日，卖方、买方II广州丰优包装制品及目标公司已订立贷款转让协议，买方II将向卖方收购股东贷款，代价为人民币700万元。

　　于2024年12月20日，卖方、买方I及目标公司已订立终止协议，终止协议的所有订约方已同意终止2023年协议及回购权，代价为零。

　　管理层认为，出售事项及终止2023年协议及回购权将使本集团能专注于核心策略领域、减少市场风险，从而提高本集团的营运效率。由于中国物流市场高度分散且竞争激烈（特别是在公路运输领域），目标公司面临显着市场压力，并未展现出与本集团预期的协同效应。
