新特能源拟15.08亿元收购准东特变49%股权
财中社12月23日电新特能源（01799）发布公告，宣布公司将收购新疆准东特变能源有限责任公司49%的股权，交易金额为15.08亿元。此次收购旨在改善公司的利润结构，增强抗风险能力，以应对多晶硅市场的波动和行业竞争加剧的挑战。根据估值报告，目标公司的估值为30.77亿元，预期在2024年至2039年间，目标公司的营业收入年复合降低率约为1.55%，净利润年复合降低率约为3.23%。
此外，公告中提到目标公司在2023年度的营业收入为19.82亿元，净利润为7.79亿元。预计未来目标公司在预测期内的净利润率将维持在20.8%至28.8%之间。公司董事会已确认该交易条款符合公司及股东的整体利益，并将于2025年1月10日召开临时股东大会以审议该交易。
