智通财经APP讯，中国外运(601598.SH)公告，公司下属控股子公司中外运化工国际物流有限公司(简称：外运化工)、中国外运华南有限公司(简称：外运华南)拟与关联方湛江港(集团)股份有限公司(简称：湛江港集团)共同投资设立“湛江中外运化工国际物流有限公司”(暂定名，简称：外运化工湛江)，用以建设招商局湛江化工品物流枢纽项目。外运化工和外运华南分别以现金出资1.04亿元和5212.24万元，湛江港集团以土地使用权(95950.74平方米)作价5212.24万元出资，分别持有合资公司50%、25%和25%的股权;合资公司将纳入中国外运合并报表范围。在合资公司设立后拟以合资公司为主体，以协议方式受让湛江港集团的土地使用权(79869.16平方米，简称：标的资产)，交易价格为4397.27万元。
公告称，本次设立合资公司及购买资产旨在根据市场及战略客户的需求，发挥各方资源优势搭建湛茂地区目前唯一满足需求的包装货危险化学品港口物流运营平台，共同打造韧性供应链，有助于中国外运加快打造粤港澳大湾区化工物流多式联运枢纽，完善中国外运化工物流网络，进一步提高公司综合物流方案的解决能力及核心竞争力。
