关于独立董事辞职的公告

北京万泰生物药业股份有限公司（以下简称“公司”）董事会近日收到公司独立董事赵治纲先生提交的书面辞职报告。赵治纲先生因个人原因申请辞去公司独立董事、审计委员会主任委员以及提名委员会委员职务，辞职后不再担任公司任何职务。

鉴于赵治纲先生的辞职将导致公司独立董事中欠缺会计专业人士，为保障公司董事会的规范运作，赵治纲先生在独立董事改选期间将继续履行职责，其辞职报告将在公司股东大会选举产生新任独立董事后生效。公司将按照相关规定，尽快完成新任独立董事的补选工作，独立董事改选不会影响董事会正常运行，不会对本公司日常管理及生产经营产生不利影响。截至本公告披露日，赵治纲先生未持有公司股份。

赵治纲先生在担任公司独立董事、审计委员会主任委员以及提名委员会委员期间，认真履行职责，勤勉尽责，充分行使职权，为提高公司董事会决策的科学性、促进公司规范运作和良好发展发挥了积极作用。公司及公司董事会对赵治纲先生在本公司任职期间为公司发展所作出的贡献表示衷心的感谢！
