根据协议，买方将承担目标公司在股权转让前产生的所有负债及亏损，并承诺在支付代价后完成股权变更登记。董事会认为，此次收购有助于公司多元化业务，特别是进军以区块链技术为中心的咨询行业，提升公司在资讯科技领域的竞争力。
