快狗打车签新合约 终止现有安排
财中社12月23日电快狗打车（02246）发布公告，宣布于2024年12月23日与海南外商独资企业、合并联属实体及登记股东签订新合约安排。新合约的条款与现有合约大致相同，主要因天津五八货运的股东由陈小华变更为何松，并将快狗天津及安徽速配达纳入新合约的独家购股权协议、授权委托书及股权质押协议的订约方。现有合约安排已同时终止。
截至2023年12月31日，合并联属实体对公司总收益的贡献约为38%，其资产总值占集团资产总值约22.7%。此次新合约安排在首次公开发售豁免的条件下进行，交易被确认符合《上市规则》第十四A章的豁免范围，无需严格遵守公告、通函及独立股东批准的规定。董事会认为，新合约安排符合公司及股东的整体利益。
