中国外运与关联方湛江港集团合资2.07亿设立公司
财中社12月23日电中国外运（601598/00598）发布公告称，其控股子公司外运化工和外运华南拟与关联方湛江港集团共同投资设立合资公司，注册资本为2.07亿元，外运化工出资1.04亿元，持股50%；湛江港集团以土地使用权作价5212万元，持股25%；外运华南出资5212万元，持股25%。合资公司将用于建设招商局湛江化工品物流枢纽项目，并纳入公司合并报表范围。
此外，合资公司成立后将以协议方式受让湛江港集团的8万平方米土地使用权，交易价格为4397万元。此次交易被认定为关联交易，但不构成重大资产重组。公告指出，过去12个月内，公司未与同一关联人发生过相同类别的关联交易，且本次交易的资金来源于公司自有资金，不会对公司的正常经营和财务状况产生重大影响。
2024年前三季度，中国外运实现收入858.72亿元，归母净利润28.25亿元。
