智通财经APP讯，快狗打车(02246)发布公告，于2024年12月24日，公司以认购额(6500万港元)认购若干参与股份。
参与股份指根据私人配售备忘录的条款，作为“SP2-A类股票”发行的基金独立投资组合中的无投票权、可赎回的股份。
据悉，该基金(Homeric Segregated Portfolio Company)为一间根据开曼群岛法律注册成立的获豁免有限公司并登记为独立投资组合公司。作为独立投资组合公司，该基金获准设立一个或多个独立投资组合，以便分离该基金就一个独立投资组合持有的资产及负债与该基金就任何其他独立投资组合持有的资产及负债，及╱或该基金的整体资产及负债。
该基金已根据开曼群岛共同基金法(经修订)第4(3)条在开曼群岛金融管理局注册为受监管的共同基金。 经理人(Homeric Genesis Investment Management Co., Limited)为于中国香港注册成立的有限公司。其持有中央编号为BSJ934的牌照，可从事第4类(就证券提供意见)及第9类(提供资产管理)受规管活动。
集团认购该基金用于投资目的。董事认为，该认购事项为集团提供了平衡及多元的投资组合以及潜在资本增值的机会。认购事项亦使集团得以参与投资级债务及固定收益工具，同时利用该基金及经理人的专业管理降低直接投资风险。
