智通财经APP讯,中国金茂(00817)公布,于2024年12月27日,山东捷兴、该公司间接全资附属公司金茂北方与深圳盛秋签订股权及债权收购协议,山东捷兴及金茂北方同意分别向深圳盛秋收购其所持济南鲁茂的全部股权及标的债权,总对价为约人民币1亿元。其中,山东捷兴同意向深圳盛秋收购其所持济南鲁茂17.07% 的股权及标的债权中的金额为人民币84,148,175.88元的债权,对价为约人民币6207.78万元;金茂北方同意向深圳盛秋收购其所持济南鲁茂10.43%的股权及标的债权中金额为人民币51,421,625.77元的债权,对价为约人民币3793.48万元。
据悉,济南鲁茂主要负责该等地块的开发。该等地块位于中国济南市历城区港西路以东、经十东路以南,占地面积231,144平方米,计容建筑面积483,204平方米,用于开发住宅物业,已于 2024年10月竣工交付,处于收尾阶段。于本公告之日,山东捷兴、金茂北方与深圳盛秋分别持有济南鲁茂的45%、27.5%及27.5%股权,于济南鲁茂收购完成后,山东捷兴及金茂北方将分别持有济南鲁茂的62.07%及37.93%股权,济南鲁茂仍为山东捷兴的非全资附属公司。
