智通财经APP讯，VESYNC(02148)及要约人VICTORY III CO.,LTD联合公布，于2024年12月23日，要约人要求董事会，就根据公司法第86条透过协议安排将公司私有化，向协议安排股东提呈一项建议。该建议完成后，公司将成为要约人的全资附属公司及股份将在联交所撤销上市地位。
该建议将以协议安排方式实施。协议安排将订明，如协议安排生效，协议安排股份将予以注销，以换取：
(a)现金选择：每持有一股协议安排股份收取现金5.60港元;或
(b)股份选择：每持有一股协议安排股份收取一股顶层公司股份。
现金选择之下的每股协议安排股份5.60港元的现金代价较于2024年12月10日(即最后交易日)联交所所报收市价每股4.20港元溢价约33.33%。
待协议安排生效后，公司将于紧随协议安排生效后按照上市规则第6.15(2)条的规定向联交所申请撤销股份于联交所的上市地位。
应公司要求，股份自2024年12月11日上午九时正起于联交所暂停买卖，以待刊发本公告。公司已向联交所申请股份于2024年12月30日上午九时正起于联交所恢复买卖。
