智通财经APP讯，中航科工(02357)发布公告，有关建议重组及募集配套资金的相关事宜。建议重组及募集配套资金完成后，于本公告日，本公司直接持有中航直升机股份有限公司(中直股份，一家其股份于上海证券交易所上市的本公司非全资附属公司)48.56%的股份，中直股份的全资附属公司哈尔滨飞机工业集团有限责任公司哈飞集团)持有中直股份2.34%的股份。
为进一步梳理本集团直升机业务股权结构，本公司董事会欣然宣布，于2024年12月25日，本公司与哈飞集团签订股权转让协议，哈飞集团将其持有的中直股份全部1918.7万股A股(占中直股份总股本的2.34%)转让予本公司，转让价格为每股中直股份A股人民币39.76元(股权转让)。股权转让尚需提交中直股份股东大会审议及有关部门批准及确认。
股权转让完成后，本公司直接持有中直股份的股份数量增至4.17亿股A股，直接持股比例进一步增至50.90%。股权转让将进一步梳理本集团直升机业务的股权结构，为本集团直升机产业的发展奠定良好基础。
