智通财经APP讯，CLSA PREMIUM(06877)发布公告，有关大股东拟协议转让公司股份并公开征集受让方，公司于2024年12月27日收到CITIC Securities International Company Limited(中信证券国际)的通知，为推进本次股份转让，中信证券国际已在2024年12月27日正式于上海联合产权交易所有限公司(上海产交所)刊登挂牌公告。
中信证券国际拟转让其所持有的部分公司股份，并通过上海产交所公开披露产权转让信息和组织交易活动，拟转让的股份数为约8.13亿股普通股，占公司已发行股份总数的40%(最终以实际交割时占比为准)。转让底价为人民币9071.500568万元。
中信证券国际为受中国财政部监管的中央金融企业，隶属中国中信集团有限公司。于本公告日期，中信证券国际持有公司合计12.003亿股普通股，占公司已发行股份总数的59.03%;本次股份转让完成后，中信证券国际将持有公司合计3.87亿股普通股，占公司已发行股份总数的19.03%(最终以实际交割时占比为准)。
倘若本次股份转让按挂牌公告所述的条款完成，意向受让方届时将取得公司超过30%的投票权，并将取代中信证券国际成为公司的控股股东，从而可能须根据收购守则规则26.1向公司每类权益股本的持有人作出强制性全面要约。
公司获悉，于本公告日期，中信证券国际尚未与潜在受让方展开讨论或磋商，亦未就任何可能出售订立任何协议。
