根据谅解备忘录，有意买方有意收购，且有意卖方有意向有意买方出售目标公司兆达隆物业管理有限公司合共100%已发行股份及目标公司结欠有意卖方的所有贷款(如有)，概不附带产权负担，并须受正式协议的条款及条件所限。
目标公司主要从事物业管理业务。董事认为，潜在收购事项一经落实，将为集团提供良机，进一步发展物业管理业务，进而拓宽收入基础。因此，董事认为，谅解备忘录的条款属公平合理，且潜在收购事项符合公司及股东整体利益。
