智通财经APP讯，凯盛新能(01108)发布公告，于2024年12月30日，公司与宿迁开发、慈溪新能源及沭阳贸易(各自作为江苏凯盛的原股东)订立增资协议，订约各方有条件同意(i)公司透过注入现金方式向江苏凯盛注资人民币3.73亿元，以认购江苏凯盛新增注册资本人民币3.73亿元;及(ii)宿迁开发(作为江苏凯盛的原股东之一)透过注入现金方式向江苏凯盛额外注资人民币1.25亿元，以认购江苏凯盛新增注册资本人民币1.25亿元，注资金额分别占江苏凯盛经扩大注册资本约74.60%及25.00%。
完成后，江苏凯盛由公司、宿迁开发、慈溪新能源及沭阳贸易分别持有74.60%、25.00%、0.32%及0.08%权益。由于江苏凯盛于完成后将成为公司的附属公司，其财务业绩将于集团的账目内综合入账。
公告称，集团的主营业务包括光伏玻璃的生产及销售。增资事项以并购方式扩大集团业务规模及实现公司快速发展，符合公司长远发展战略，有利于公司进一步优化完善主营业务布局，做强做优核心主业，提升可持续发展能力，并巩固提升公司的行业地位。公司将借助江苏凯盛在建和拟建生产线的后发优势，以“大吨位、多规格、低成本”策略，扩大区域市场份额，增强市场竞争力。
