智通财经APP讯，凯盛新能(600876.SH)公告，为进一步优化完善新能源材料业务布局，以并购整合助推主业快速发展，巩固提升公司的行业地位和市场竞争力。于2024年12月30日，公司与宿迁市运河港区开发集团有限公司(简称“宿迁港”)、慈溪市光年新能源科技有限公司(简称“慈溪光年”)、沭阳竞泽电子贸易有限公司(简称“沭阳竞泽”)共同签署《关于江苏凯盛新材料有限公司的增资协议》(简称“增资协议”)。
根据增资协议安排，各方同意本次每一元新增注册资本的缴付价格为1元，由公司和宿迁港对江苏凯盛进行增资(简称“本次增资”)，慈溪光年及沭阳竞泽同意放弃对本次新增注册资本的优先认缴权。本次增资的新增注册资本为4.98亿元，其中公司认缴新增注册资本3.73亿元需缴付的出资款为3.73亿元，宿迁港认缴新增注册资本1.25亿元需缴付的出资款为1.25亿元。本次增资完成后，江苏凯盛的注册资本由222万元增加至5亿元，公司将持有江苏凯盛74.60%股权。
