智通财经APP讯，京城机电股份(00187)发布公告，该集团董事会于2024年12月30 日收到公司非执行董事吴燕璋及成磊提交的书面辞职申请。因已到退休年龄，并已办理退休手续，吴燕璋申请辞去公司非执行董事、董事会战略委员会委员的职务;因工作原因，成磊申请辞去公司非执行董事的职务。董事会充分尊重吴燕璋及成磊的决定，接受他们的辞职申请，并于2024年12月30日生效。
公司于2024年12月30日召开第十一届董事会第十次临时会议，审议通过《关于更换公司第十一届董事会非执行董事的议案》。经公司第十一届董事会提名委员会提名，董事会同意王凯接替吴燕璋、赵细华接替成磊，为公司第十一届董事会非执行董事候选人，并提交股东大会审议。建议任期自股东大会批准之日起至2025年度股东周年大会止。
