百德国际完成2.9亿元收购交易 发行9.5亿股股份
财中社12月31日电百德国际（02668）发布公告，宣布完成根据特别授权发放代价股份的收购交易。此次交易涉及的收购目标公司已成为公司的全资附属公司，其财务业绩、资产及负债将合并入公司的财务报表。根据协议，收购代价为2.9亿元，公司向卖方发行9.5亿股代价股份，发行价为每股0.336港元。
此次发行代价股份对公司的股权结构产生了影响。完成前，代价股份占公司已发行股本约20.3%，而完成后占扩大发行股本的16.87%。卖方成为主要股东，持有扩大发行股本的约16.87%。交易后，公司的总发行股份由46.8亿股增至56.3亿股，公众股东的持股比例由79.06%降至65.72%。
