首钢资源与宏光发电签署2025年销售框架协议 构成持续关联交易
财中社12月31日电首钢资源（00639）发布公告，宣布与宏光发电签署了2025年销售框架协议，适用于2025年1月1日至2027年12月31日的销售交易。此协议是为了延续之前的2022年销售框架协议，后者将于2024年12月31日到期。根据公告，2025年销售框架协议的主要内容包括销售方将向购买方供应煤炭产品，并在协议期内不时订立个别销售协议。
在历史交易方面，截止至2022年12月31日的销售交易金额为8703万元，2023年为4990万元，而截至2024年11月30日的11个月内为2307万元。2025年的年度上限为1亿元，2026年为1.05亿元，2027年为1.1亿元。年度上限的设定基于历史交易金额及市场需求等因素。
根据上市规则，宏光发电为公司的关联人士，因此本协议构成持续关联交易，需遵守相关的申报和公告规定。公司表示，协议条款经过公平磋商，符合公司及股东的整体利益，并将定期审查交易以确保合规。
