现代牧业与蒙牛签财务共享协议 年限至2027年
财中社12月31日电现代牧业（01117）发布公告，宣布与内蒙古蒙牛乳业（集团）股份有限公司签订财务共享服务框架协议。该协议将于2025年1月1日生效，至2027年12月31日到期，蒙牛将向公司提供会计核算相关的财务共享服务。根据协议，相关服务费用将采用成本加成定价方式，即蒙牛提供服务的总成本加上5%的固定百分比。每个财务年度的年度上限为800万元。
公告指出，自2024年7月1日至2024年11月30日，公司的历史交易金额约为139万元。由于该协议下的交易符合上市规则第十四A章的持续关联交易定义，且适用的最高百分比率超过0.1%但低于5%，因此须遵守相关的申报和公告规定，但获得豁免遵守通函及独立股东批准的要求。公司董事会认为该协议条款公平合理，有利于公司的整体利益。
