东岳集团与东岳氢能签署重要框架协议
财中社12月31日电东岳集团（00189）发布公告，宣布与东岳氢能订立《重续原材料供货、产品销售及其他交易框架协议V》，该协议将于2025年12月31日到期。根据协议，东岳氟硅科技及其附属公司将向东岳氢能提供生产所需的原材料和配套服务，反之亦然。公告提到，东岳氢能将向东岳氟硅科技及其附属公司提供氢能原材料及相关服务。
根据过往交易数据，东岳氢能在截至2023年12月31日止年度支付给东岳氟硅科技的金额约为2.15亿元，2024年1月1日至2024年11月30日期间支付的金额约为9575万元，均在年度上限范围内。此外，协议规定年度销售上限为5920万元，年度采购上限为1.51亿元。
由于张建宏通过其控制的实体在东岳氢能中拥有约35.5%的股权，因此此次交易被视为公司的持续关联交易，需遵循相关上市规则的申报及公告要求。公司认为，此协议的条款是公平合理的，并符合公司及股东的整体利益。
