财中社12月31日电万物云(02602)发布公告,透露于2024年12月30日,公司全资子公司沈阳朴寓与万科企业子公司永安置地签署资产收购协议,交易总价为1.5亿元。根据协议,永安置地同意出售位于沈阳和平区长白山路212号的目标物业,该物业总建筑面积为3万平方米,主要用于商业用途。收购款项将分三期支付,其中首期款为4800万元,二期款为8700万元,尾款为1500万元,支付时间依赖于协议中的先决条件。
公告指出,万科企业作为控股股东,持有公司约56.89%的表决权,因此本次交易构成关联交易。基于过往交易的合并计算,相关交易的百分比率超出0.1%但低于5%,因此只需遵守相关的申报和公告规定,而无需独立股东批准。此次交易预计将有助于公司收回万科企业及其关联方的既存债务,进一步提升目标物业的经营情况。
