金吾财讯 | 高鑫零售(06808)续跌5.05%，报1.88港元，成交额2273.47万港元。该股两日累计跌幅达24.19%。消息面上，阿里巴巴(09988)宣布，出售高鑫零售全部股权，占已发行高鑫零售股份总数约78.7%。买方将须按例就高鑫零售全部已发行股份提出强制性全面收购要约。买方 Paragon Shine Limited 为由 DCP Capital 旗下基金 DCP Capital Partners II, L.P.间接拥有 100%权益。DCP Capital 是一家另类资产管理公司，并专注于私募股权投资。倘卖方已于买卖协议交割时或之前收取2024年中期股息，则买卖协议首次付款将扣减二零二四年中期股息的金额，卖方将有权收取103.61亿元，相当于每股待售股份1.38元。而阿里巴巴子公司及 New Retail 有权就待售股份收取最高金额约131.38亿港元，相当于每股作价1.75港元。大摩表示，阿里巴巴出售高鑫零售，或令高鑫股价有负面反应，由于要约价远交易公布前收市价。然而，华泰证券表示，将高鑫零售目标价从1.82港元上调42.9%至2.6港元，对应公司2026财年47倍市盈率，上调幅度较大因隐含转型措施显效、盈利向好及收购方潜在协同。维持“增持”评级。
