　　中国绿地博大绿泽（01253）公布，于2024年12月31日，该公司拟向ZDX Energy Development Co．，Ltd收购ZDX Energy International Co．，Ltd已发行股份总数的51.0%，代价为人民币2040万元，将于完成时透过一般授权按发行价每股代价股份0.1港元向卖方配发及发行代价股份悉数结算及支付。

　　据悉，目标公司为一间投资控股公司。于本公告日期，目标公司由卖方全资拥有，及目标公司仅有一间直接附属公司，该附属公司为于香港注册成立的特殊目的公司（香港SPV），唯一目的为直接持有国能泰瑞的全部股权。目标公司及目标公司的上述香港SPV均无任何业务运营。国能泰瑞为一间于中国注册成立的有限公司，主要从事为水力发电站提供全面运维服务。

　　收购事项为公司提供了快速建立业务规模、增强技术能力及奠定团队基础的机会，从而能够迅速进入新能源领域。
