绿城中国非全资附属公司签署三亚住宅项目管理协议 总价不超1.25亿元
财中社1月1日电绿城中国（03900）发布公告，宣布其非全资附属公司绿城房地产建设管理与三亚凰卓投资于2024年12月31日签署了一项项目管理服务协议。根据协议，绿城房地产建设管理将为位于海南省三亚市的住宅项目提供项目管理服务，项目总建筑面积约为16万平方米。该项目的代价预计为9593万元，具体金额将视业绩激励情况而有所调整，最终代价不超过1.25亿元。
公告中提到，中交集团及其附属公司持有公司7.33亿股股份，约占公司已发行股本的28.94%，因此中交集团为公司的主要股东。由于协议涉及的交易适用的百分比率超过0.1%但低于5%，故相关交易需遵守上市规则的申报及公告规定，但获得豁免遵守通函及独立股东批准的要求。董事会认为该协议有助于提升项目的建设质量，并为公司带来稳定的项目管理费用收入。
