智通财经APP获悉，医疗保健房地产投资信托基金 Regional Health Properties(RHE.US)将通过全股票交易收购 SunLink Health Systems(SSY.US)。两家公司签订了最终的合并协议和计划，该交易预计将于 2025 年春季完成。
周一盘前， Regional 股价一度上涨260.65%至 5.59 美元，而 SunLink 股价上涨36.26%至 1.24 美元。
SunLink 将与 Regional 合并，以换取 Regional 发行总计141万股普通股和141万股新授权的 D 系列 8% 累积可转换可赎回优先股，清算优先权为每股 10 美元。
此次合并已获得各公司董事会的一致批准，交易的完成取决于 Regional 和 SunLink 股东的批准、监管部门的批准以及惯例成交条件的满足。
Regional 已同意为每五股 SunLink 股票提供一股普通股，并根据调整提供一股优先股。
三股优先股可转换为一股Regional 普通股。
此次合并已获得两家公司董事会的一致批准。SunLink 股东将拥有合并后公司约 43% 的股份。
截至 12 月 31 日，SunLink 拥有约 1760 万美元的资产，没有长期债务。Regional 预计到 2026 财年末税前成本协同效应将达到约 100 万美元。
Regional 董事长兼首席执行官Brent S. Morrison表示：“此次合并将打造一家资产负债表更强大、规模更大的合并后公司。此外，通过将 SunLink 的互补资产与 Regional 的医疗设施平台相结合，合并后的公司将为未来的增长做好准备。”
