海螺创业订立四项2025年持续关联交易协议
财中社1月9日电海螺创业（00586）发布公告，宣布于2025年1月9日订立了四项持续关联交易协议，以取代已到期的协议并满足集团对海螺科创集团的商品采购需求。这些协议包括2025年销售商品框架协议、2025年采购商品框架协议、2025年技术及其他服务框架协议，以及2025年提供服务框架协议。其中，销售商品框架协议的有效期为2025年1月1日至2025年12月31日，采购商品框架协议则与海螺科创的框架协议有效期为2025年1月1日至2026年12月31日。
公告指出，海螺集团为本公司的主要股东，持有1.86亿股，约占公司已发行股本的10.39%。因此，依据上市规则，这些交易构成持续关联交易。根据估计，2025年销售商品框架协议的年度上限为3.94亿元，采购商品框架协议的年度上限为8800万元，技术及其他服务框架协议的年度上限为9500万元，提供服务框架协议的年度上限为1.75亿元。这些交易的年度上限总额的最高适用百分比率超过0.1%但低于5%，因此需遵守上市规则的相关申报及公告规定。
