监管文件显示，百健拥有Sage Therapeutics 10.2%的股份。此次报价较Sage Therapeutics周五收盘价有30%的溢价，对Sage的估值为4.417亿美元。
由于对成本、疗效和副作用的担忧，百健的阿尔茨海默病药物Leqembi在美国的销售一直在缓慢回升。
Sage股价在2024年暴跌75%。在多次试验失败后，该公司放弃了药物dalzanemdor的研发。Sage去年11月表示，将专注于与百健合作开发的产后抑郁症药物Zurzuvae。
去年7月，Sage还放弃了与百健合作开发的另一种神经系统疾病药物。
