财中社1月10日电康诺亚-B（02162）发布公告，宣布其全资子公司成都康诺亚与目标公司Timberlyne Therapeutics签订了独家对外许可协议。该协议赋予目标公司在全球（不包括中国内地、香港、澳门及台湾）开发、生产及商业化CM313的独家权利。CM313是一种靶向CD38的人源化单克隆抗体。
根据协议，本集团将收取3000万美元的首付款和近期付款，并成为目标公司的最大股东，持有其25.79%的股权。若干销售及开发里程碑达成后，本集团还可收取最多3.38亿美元的额外付款，并有权从目标公司收取销售净额的分层特许权使用费。此外，目标公司将负责与CM313相关的开发活动费用，而本集团将提供必要的技术及知识转让支持。
董事会认为，此次许可协议将有助于提升公司的技术平台的科学及商业价值，同时加强全球合作网络。公告强调，尽管公司积极推动CM313的开发，但并不保证最终成功上市或商业化，提醒股东和潜在投资者在交易时需谨慎行事。
