智通财经APP讯，和铂医药-B(02142)公布，公司及科伦博泰(06990)已与 Windward Bio AG(Windward Bio)就授权方联合开发的抗胸腺基质淋巴细胞生成素(TSLP)单克隆抗体HBM9378/SKB378订立独家授权协议。根据授权协议，该公司与科伦博泰作为授权方同意(其中包括)授予Windward Bio 全球独家许可，以在大中华区及若干东南亚及西亚国家以外生产、开发、使用、推广、销售、许诺销售、进口及以其他方式商业化HBM9378/SKB378(现亦称 WIN378)。
根据授权协议的条款，授权方有权收取最多合共9.7亿美元的预付款及里程碑付款以及占净销售额个位数到双位数百分比的分层特许权使用费。4500万美元的预付款及近期里程碑付款包括现金付款及Windward Bio母公司的股权。倘 Windward Bio近期发生控制权变动或其与第三方订立再许可协议，授权方亦有权向Windward Bio收取额外款项。Windward Bio根据授权协议向授权方支付的款项应等额支付予该公司及科伦博泰。
公司将借机通过创新合作模式进一步强化其全球合作网络，充分发挥公司技术平台的科学及商业价值。基于上述，授权协议的订立将授权方与Windward Bio 的研发、生产及商业化能力整合在一起，为HBM9378/SKB378走向商业化提供支持并确立有利市场地位。授权协议的实施亦让公司能够将HBM9378/SKB378推向全球市场，令其商业价值得到最大化。
