智通财经APP讯，大丰港(08310)及要约人大丰港(香港)发展有限公司联合公布，要约人及本公司(据卖方及要约人告知)欣然宣布协议项下的所有先决条件已获达成(或豁免，如适用)及完成于2025年1月15日落实，要约人已向卖方收购销售股份。
紧随完成后及于本联合公告日期，目标公司由要约人实益持有60%及由大丰港开发集团持有40%。要约人由大丰港开发集团全资拥有。
目标公司持有7.4亿股股份，占本联合公告日期已发行股份总数约57.46%。
要约人已取得目标公司的法定控制权(如收购守则所述)，而目标公司持有的本公司投票权已有效转移至要约人。于完成日期，要约人已透过分别支付代价一、代价二及代价三的30%现金部分及承担未缴股本一及未缴股本二支付代价。
由于要约人已取得目标公司的法定控制权(如收购守则所述)且要约人及要约人一致行动人士于本公司拥有约57.46%权益，要约人须根据收购守则规则26.1注释8及收购守则应用指引19就本公司所有已发行股份(要约人及要约人一致行动人士已拥有或同意收购的股份除外)提出无条件强制性全面要约。
