智通财经APP获悉，强生(JNJ.US)已同意以每股132.00美元的现金收购生物制药公司Intra-Cellular Therapies(ITCI.US)的所有流通股，总股权价值约为146亿美元。受此消息提振，截至发稿，Intra-Cellular Therapies周一美股盘前暴涨近36%。
这笔交易预计将于今年晚些时候完成，但需获得相关监管部门、Intra-Cellular Therapies股东的批准以及其他常规成交条件。此次交易将通过现金和债务相结合的方式筹资。
这笔交易加强了强生的神经系统疾病产品组合。资料显示，Intra-Cellular Therapies专注于开发和商业化中枢神经系统疾病治疗方法。该公司目前正在研发一种治疗重度抑郁症的药物，该药物正处于后期试验阶段。
此外，Intra-Cellular Therapies开发的Lumateperone是一种口服非典型抗精神病药物。Lumateperone于2019年获美国食品药品管理局(FDA)批准用于治疗精神分裂症，并于2021年12月获得了与双相情感障碍相关的抑郁症发作的适应症扩展。
强生将于2025年1月22日举行的第四季度财报电话会议上公布该交易对调整后每股收益的潜在影响。
